1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Money Terminal, LLC, a Delaware Limited Liability Company ("Company," "we," "us," or "our"), governing your access to and use of the website located at getmoneyterminal.com and the Money Terminal application, including any related services, features, content, and functionality (collectively, the "Service").

By creating an account, accessing, or using the Service, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

2. Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use this Service. By using the Service, you represent and warrant that you meet these eligibility requirements. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration and Security

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or no longer current, or if we suspect unauthorized or fraudulent activity.

4. Third-Party Services and Financial Data

4.1 Financial Data Connectivity (Plaid)

Our Service uses Plaid Inc. to connect to your financial institutions. By using our Service to link your bank accounts, you acknowledge and agree to the following:

• You hereby grant Money Terminal, LLC and Plaid Inc. the right, power, and authority to act on your behalf to access and transmit your personal and financial information from your designated financial institution(s).
• Your use of Plaid is subject to the Plaid Legal Terms.
• We are not responsible for the accuracy, availability, or security of data provided by Plaid or your financial institutions.

4.2 Data Accuracy

While we strive to display accurate financial information, the data retrieved from your financial institutions via Plaid may contain errors, omissions, or delays. You acknowledge that:

• Transaction categorization is automated and may be incorrect
• Account balances and transaction data may not reflect real-time information
• You are responsible for verifying all data displayed in the Service

5. Subscription and Payments

Certain features of the Service require a paid subscription. By subscribing, you agree to:

• Pay all applicable fees associated with your chosen subscription plan
• Authorize us to charge your designated payment method on a recurring basis
• Provide accurate and complete billing information

Subscription fees are non-refundable except as required by applicable law or as expressly stated in these Terms. We reserve the right to change subscription fees upon reasonable notice. Continued use after a price change constitutes acceptance of the new fees.

6. Intellectual Property Rights

The Service and its entire contents, features, and functionality (including but not limited to all information, software, code, text, displays, graphics, photographs, audio, video, and the design, selection, and arrangement thereof) are owned by Money Terminal, LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, non-commercial purposes. This license does not include the right to:

• Modify, copy, or create derivative works based on the Service
• Reverse engineer, disassemble, or decompile any software within the Service
• Remove any copyright, trademark, or other proprietary notices
• Use the Service for any commercial purpose without our written consent

7. Financial Disclaimer and AI Limitations

7.1 AI Limitations and Hallucinations

7.2 No Liability for Financial Losses

MONEY TERMINAL, LLC EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY FOR:

• Overdrafts, insufficient funds, or bank fees resulting from reliance on the Service
• Investment losses or missed investment opportunities
• Tax penalties, interest, or underpayment resulting from reliance on the Service
• Any financial losses, damages, or adverse consequences arising from decisions made based on information, forecasts, recommendations, or AI outputs provided by the Service
• Errors or inaccuracies in transaction categorization, balance calculations, or financial projections

You assume full responsibility for all financial decisions and their consequences.

8. Prohibited Uses

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Engage in fraud, money laundering, or other illegal financial activities
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the integrity or performance of the Service
• Transmit viruses, malware, or other malicious code
• Scrape, data mine, or collect information without authorization
• Use the Service to develop competing products or services
• Impersonate any person or entity or misrepresent your affiliation

9. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us at contact@getmoneyterminal.com.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, limitations of liability, and dispute resolution.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, MONEY TERMINAL, LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT
• WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS

11. Limitation of Liability

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to defend, indemnify, and hold harmless Money Terminal, LLC and its members, managers, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any applicable law or third-party rights
• Any content or data you submit or transmit through the Service
• Your negligence or willful misconduct

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

13. Governing Law

These Terms and any dispute arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Notwithstanding the foregoing, if you are a consumer residing in California, you may be entitled to certain consumer protection rights under California law, and nothing in these Terms shall limit any non-waivable rights you may have under the California Consumer Legal Remedies Act (CLRA), California Business and Professions Code, or other applicable California consumer protection statutes.

14. Binding Arbitration and Class Action Waiver

14.1 Agreement to Arbitrate

You and Money Terminal, LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, "Disputes") will be resolved exclusively through binding individual arbitration, rather than in court, except that:

• Either party may bring individual claims in small claims court if the claims qualify
• Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights

14.2 Arbitration Rules and Procedures

Arbitration shall be conducted by JAMS (Judicial Arbitration and Mediation Services) under its Streamlined Arbitration Rules and Procedures, or alternatively by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as mutually agreed by the parties. If the parties cannot agree, JAMS shall administer the arbitration.

The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Payment of all filing, administration, and arbitrator fees will be governed by the applicable arbitration rules.

14.3 Class Action Waiver

14.4 Opt-Out Right

You may opt out of this arbitration agreement by sending written notice of your decision to opt out to contact@getmoneyterminal.com within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, neither party shall be bound by this arbitration provision, and all Disputes will be resolved exclusively in the courts of the State of Delaware.

14.5 Severability

If any portion of this arbitration provision is found to be unenforceable, the remaining portions shall remain in full force and effect. However, if the class action waiver in Section 14.3 is found to be unenforceable, then the entirety of this arbitration provision shall be null and void, and all Disputes shall be resolved in the courts of the State of Delaware.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and Money Terminal, LLC regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, government actions, or internet or telecommunications failures.
